1. Acceptance of Terms
By accessing and using the services of TechConsult Solutions ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
2. Description of Services
TechConsult Solutions provides business consulting services, including but not limited to:
- Digital transformation consulting
- Cloud migration services
- Business strategy development
- IT consulting and advisory services
- Process optimization
- Data analytics and business intelligence
3. Service Agreements
Specific consulting engagements will be governed by separate written agreements that detail scope, deliverables, timelines, and compensation. These Terms supplement but do not replace such agreements.
4. Client Responsibilities
Clients agree to:
- Provide accurate and complete information
- Cooperate in good faith throughout the engagement
- Provide timely access to necessary personnel and systems
- Make timely payments as agreed
- Maintain confidentiality of proprietary methodologies
5. Payment Terms
Payment terms will be specified in individual service agreements. Generally:
- Invoices are due within 30 days of receipt
- Late payments may incur interest charges
- Services may be suspended for overdue accounts
- All fees are non-refundable unless otherwise specified
6. Intellectual Property
All pre-existing intellectual property remains with its respective owner. Work product created specifically for Client becomes Client property upon full payment. Our general methodologies, frameworks, and know-how remain our property.
7. Confidentiality
We maintain strict confidentiality regarding Client information and expect the same regarding our proprietary methods and business information. Confidentiality obligations survive termination of our relationship.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability is limited to the fees paid for the specific service
- We are not liable for indirect, consequential, or punitive damages
- We provide services "as is" without warranties
- Client assumes responsibility for implementation decisions
9. Indemnification
Client agrees to indemnify and hold us harmless from claims arising from Client's use of our recommendations, except for our gross negligence or willful misconduct.
10. Termination
Either party may terminate services with written notice as specified in the service agreement. Client remains responsible for payment of services rendered through the termination date.
11. Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, or other unforeseeable events.
12. Governing Law
These Terms are governed by the laws of the State of Washington, United States. Any disputes will be resolved in the courts of King County, Washington.
13. Dispute Resolution
Parties agree to attempt resolution through good faith negotiation before pursuing legal action. Mediation may be required before litigation.
14. Independent Contractor
TechConsult Solutions operates as an independent contractor. No employment, partnership, or joint venture relationship is created by these Terms.
15. Severability
If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.
16. Modifications
We may update these Terms periodically. Continued use of our services after changes constitutes acceptance of the updated Terms.
17. Entire Agreement
These Terms, together with specific service agreements, constitute the entire agreement between the parties regarding our services.
